Mergers and Acquisitions

We have extensive experience in the area of mergers and acquisitions, particularly in the acquisition of Venezuelan businesses by foreign investors. We have been at the forefront of many such acquisitions and coordinated and directed take-overs involving simultaneous acquisitions in several South American countries.

Because of the high number of mergers and acquisitions that we have handled over the years, we have developed an excellent team which performs due diligence investigations in a thorough, efficient, and expedite manner. We prepare due diligence reports for companies purchasing or transferring other companies, assets and commercial establishments, studying all aspects of the legal status of the companies and establishments under review and examining corporate, tax, labor, environmental and all other pertinent documentation as well as real estate deeds and contracts. We survey and examine tax issues, court and administrative proceedings, registration and contracts. Foreign Investments

Because the majority of our clients are multinational entities, our Firm has vast experience in all matters related to the registration of foreign investments in Venezuela.

One of the areas linked to foreign investment has been the transfer of technology.
